Website Terms of Use.

These Terms of Use ("Terms") govern your use of the website at decipher.ng and any sub-domain operated by Decipher Media Solutions LTD ("Decipher", "we", "us", "our"). By accessing or using the website you agree to these Terms. If you do not agree, please do not use the website.

These Terms cover website visitors only. If you engage Decipher for Systems or Hosting services, your engagement is governed by the signed Decipher Master Services Agreement, the applicable Service Addendum (Systems or Hosting), and the Scope Document for your project. Those documents, not these Terms, are the commercial contract.

1. About these terms

The website is operated by Decipher Media Solutions LTD, a private limited company registered in Lagos, Nigeria. These Terms constitute a binding agreement between you and Decipher regarding your access to and use of the website.

Your use of personal data is also governed by our Privacy Policy. Where you use a Decipher-provided hosting or infrastructure service, the Acceptable Use Policy applies in addition.

2. Permitted use

You may browse the website, read our materials, download publicly offered resources, and submit enquiries through the forms provided. You may link to the website from your own site as long as the link does not damage our reputation or imply a false endorsement.

3. Prohibited conduct

You must not use the website in any way that is unlawful, harmful, or disruptive. Without limiting that, you agree not to:

  • Attempt to gain unauthorised access to any part of the website, its servers, or any system connected to it.
  • Probe, scan, or test the vulnerability of the website or circumvent any security measure.
  • Interfere with the normal operation of the website, including through denial-of-service attacks, excessive automated requests, or malicious traffic.
  • Use automated scripts to scrape, harvest, or index content beyond what robots.txt permits.
  • Submit false information, impersonate another person or organisation, or fraudulently represent a relationship with us.
  • Upload or transmit viruses, malware, or any code designed to damage or compromise systems.
  • Use the website to distribute spam, phishing content, or unsolicited commercial messages.
  • Reproduce, republish, frame, or redistribute substantial portions of the website's content without our prior written permission, except as permitted by law.

4. Accounts and access

The main website does not require a user account. Separate services we operate, including hosting dashboards, client portals, and paid tools, have their own account terms which are presented to you at sign-up. Where you hold an account with us, you are responsible for keeping your credentials confidential and for activity under your account.

5. Intellectual property

All content on the website, including text, graphics, logos, images, videos, illustrations, code samples, and the look and feel of the pages, is either owned by Decipher or used under licence. It is protected by Nigerian and international copyright, trademark, and other intellectual property laws.

"Decipher", the Decipher flame logo, and the Decipher Systems and Decipher Hosting marks are trademarks of Decipher Media Solutions LTD. You may not use them without our prior written permission, except for purposes of nominative reference (e.g. accurate description of our services in commentary, reviews, or directories).

Nothing on the website grants you any licence to our trademarks, brand assets, or proprietary frameworks. Client work and deliverables are addressed separately in the Master Services Agreement and the Scope Document for your engagement.

6. Submissions and feedback

If you send us a project brief, feedback, testimonials, or ideas through the website, WhatsApp, email, or any other channel, you grant us a worldwide, royalty-free, non-exclusive right to use that information for the purpose for which you sent it. For example, to quote for a scope, respond to your message, or improve our services. You are responsible for the content you submit and confirm that you have the right to share it with us.

We will not use the content of a project brief as a case study or public reference unless you agree to that in writing under the portfolio terms of your engagement.

7. Third-party links

The website may link to third-party websites or services. We do not control those destinations and are not responsible for their content, practices, or terms. A link does not imply endorsement. Use of any third-party service is at your own risk and subject to that provider's terms and privacy practices.

8. Disclaimers

The website is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law:

  • We make no warranty that the website will be uninterrupted, error-free, or free from viruses or other harmful components.
  • Content on the website is provided for general information. It is not legal, financial, tax, or professional advice. You should not rely on it without taking advice appropriate to your situation.
  • Pricing, availability, and service descriptions may change without notice. Binding commercial terms are set out only in a signed engagement document.

9. Limitation of liability

To the fullest extent permitted by law, neither party shall be liable to the other for indirect, incidental, special, consequential, or punitive damages arising from your use of the website, including loss of profits, loss of business opportunity, or loss of data, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising from or relating to your use of the website shall not exceed ₦50,000 (fifty thousand Naira) or the amount you have paid us for access to the website in the 12 months preceding the claim, whichever is greater.

Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud, wilful misconduct, or any liability that Nigerian law expressly prohibits from being excluded.

Commercial engagements have their own liability terms set out in the Master Services Agreement. Those terms govern claims arising from the services themselves.

10. Indemnity

You agree to indemnify Decipher and our team, contractors, and partners against any claim, loss, or cost arising from your breach of these Terms, your unlawful use of the website, or your infringement of any third-party right in connection with your use of the website.

11. Suspension and termination

We may, at any time and without notice, suspend or terminate your access to the website if we reasonably believe that you have breached these Terms, threatened the security of the website, or engaged in conduct that exposes us or other users to risk. We are not required to provide a reason for suspending access, though we normally will.

12. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, with the Laws of Lagos State applying where relevant. Any dispute arising from these Terms or your use of the website shall first be submitted to the Lagos Multi-Door Courthouse for mediation. If mediation does not resolve the dispute within 60 days, either party may pursue the matter in the courts of Lagos State, which shall have exclusive jurisdiction.

13. Changes to these terms

We may update these Terms from time to time. The effective date at the top of this page shows when the current version was published. Material changes will be indicated by a revised version number. Your continued use of the website after a change takes effect constitutes your acceptance of the updated Terms.
